Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Kofi AI platform and services ("Service") provided by Kofi AI ("Kofi," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you are at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the business entity you represent. If you do not agree to these Terms, do not use the Service.

2. Description of Service

Kofi provides an AI-powered operations platform that includes:

  • Custom AI assistants configured with your business data to handle customer communications
  • Integration with messaging platforms (WhatsApp, LINE, email, and others)
  • Automated guest inquiry handling, booking management, and multilingual support
  • Dashboard and analytics for monitoring AI performance

3. Account Registration

  • You must provide accurate and complete information when creating your account.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription & Payments

  • The Service is offered on a subscription basis. Pricing details are provided during sign-up or as otherwise communicated.
  • New clients receive a trial period as specified during onboarding. After the trial, your subscription will be billed according to your selected plan.
  • All fees are non-refundable unless otherwise stated or required by applicable law.
  • We may change pricing with 30 days' advance notice. Continued use after a price change constitutes acceptance.

5. Your Data & Content

Ownership

You retain ownership of all data, content, and business information you provide to the Service ("Your Data"). You grant Kofi a limited, non-exclusive license to use Your Data solely to provide and improve the Service.

Responsibility

You are responsible for:

  • The accuracy and legality of the business data you provide to configure your AI assistant
  • Ensuring you have the right to share any data uploaded to the Service
  • Obtaining necessary consents from your customers for AI-assisted communications
  • Compliance with applicable messaging platform terms (e.g., WhatsApp Business Policy, LINE Terms)

AI-Generated Content

The AI assistant generates responses based on your business data and training. While we strive for accuracy, AI-generated content may occasionally contain errors. You are responsible for reviewing and monitoring the AI's communications with your customers. Kofi is not liable for any inaccuracies in AI-generated responses.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Send spam, unsolicited messages, or engage in deceptive practices
  • Distribute harmful, abusive, defamatory, or illegal content
  • Attempt to reverse-engineer, decompile, or extract the source code of the Service
  • Interfere with or disrupt the Service or its infrastructure
  • Use the Service for any purpose that competes directly with Kofi
  • Impersonate any person or entity, or misrepresent your affiliation

7. Intellectual Property

The Service, including its design, features, AI models, documentation, and all related intellectual property, remains the exclusive property of Kofi. These Terms do not grant you any ownership rights in the Service. You may not use our trademarks, logos, or branding without prior written consent.

8. Third-Party Integrations

The Service integrates with third-party platforms including WhatsApp, LINE, email providers, and payment processors. Your use of these integrations is subject to their respective terms and policies. We are not responsible for the availability, functionality, or policies of third-party services.

9. Service Availability & Modifications

  • We aim to provide reliable, uninterrupted service but do not guarantee 100% uptime.
  • We may modify, update, or discontinue features of the Service at any time with reasonable notice.
  • Scheduled maintenance will be communicated in advance when possible.

10. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
  • Kofi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill.
  • Our total liability for any claims arising from the Service shall not exceed the amount you paid to Kofi in the 12 months preceding the claim.
  • We are not liable for any losses resulting from AI-generated content, including inaccurate responses, missed inquiries, or miscommunications with your customers.

11. Indemnification

You agree to indemnify and hold harmless Kofi, its founders, employees, and affiliates from any claims, liabilities, damages, losses, or expenses arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) the content and data you provide to the Service.

12. Termination

  • You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period.
  • We may suspend or terminate your access for violation of these Terms, non-payment, or at our discretion with reasonable notice.
  • Upon termination, your right to use the Service ceases immediately. Your data will be deleted within 30 days per our Privacy Policy.

13. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation first. If negotiation fails, disputes shall be resolved through binding arbitration in Singapore, conducted in English, under the rules of the Singapore International Arbitration Centre (SIAC).

14. Governing Law

These Terms are governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or through the Service. Your continued use after changes constitutes acceptance of the updated Terms.
